Professional Standards
When using our tournament platform services, you agree to:
Operate your gaming venue in compliance with applicable gaming and entertainment regulations.
Implement our platform solutions in accordance with provided documentation and best practices.
Maintain appropriate insurance coverage for your venue operations and events.
Handle participant data in accordance with applicable privacy and data protection laws.
Address disputes fairly and in accordance with established tournament rules and procedures.
Prohibited Activities
You explicitly agree not to:
Use our services for any illegal, fraudulent, or unauthorized purpose.
Attempt to gain unauthorized access to our systems, networks, or other users' accounts.
Interfere with or disrupt the integrity or performance of our services.
Copy, modify, distribute, or reverse engineer any part of our software or services.
Use automated systems or bots to access our services without authorization.
Violate the intellectual property rights of Battle Zone or any third party.
Transmit spam, malware, viruses, or other harmful code through our services.
2. Age Restrictions and Requirements
Our services are intended for use by individuals who are at least 18 years of age or who have reached the age of majority in their jurisdiction, whichever is greater. By using our services, you represent and warrant that:

You agree to indemnify, defend, and hold harmless Battle Zone, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

Your violation of any rights of another party, including intellectual property rights.

Your tournament operations, venue management, or interactions with participants.
Any negligence or willful misconduct in connection with your use of our services.

7. Disclaimers of Warranties
Your use of our services is at your sole risk. Our services are provided "as is" and "as available" without any warranties of any kind, whether express or implied.
Service Quality Disclaimers
We specifically disclaim:
Any warranties of merchantability, fitness for a particular purpose, or non-infringement.
Any warranties that our services will be uninterrupted, error-free, or completely secure.
Any warranties regarding the accuracy, reliability, or completeness of information provided.
Any warranties about the results you may obtain from using our services.
Business Outcome Disclaimers
We make no guarantees about tournament attendance, participant engagement, revenue generation, or any other business outcomes. Success depends on numerous factors beyond our control, including your venue management, market conditions, and competitive landscape.
Technical Disclaimers
We do not warrant that our services will be compatible with all hardware, software, or systems. You are responsible for ensuring your infrastructure meets the technical requirements for using our services.
8. Limitations of Liability
To the maximum extent permitted by law, Battle Zone and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever.
Excluded Damages
We shall not be liable for:
Loss of profits, revenue, business opportunities, or anticipated savings.
Loss of data, goodwill, or reputation.
Cost of procurement of substitute goods or services.
Business interruption or downtime.
Any other consequential, incidental, or indirect damages.
Maximum Liability Cap
Our aggregate liability for all claims arising from or related to these Terms and Conditions or your use of our services shall not exceed the greater of (a) the total amount paid by you to us in the twelve months preceding the event giving rise to liability, or (b) one hundred dollars.
Essential Purpose
These limitations of liability are fundamental elements of the basis of the bargain between you and Battle Zone. We would not be able to provide our services on an economically reasonable basis without these limitations.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
9. Force Majeure
We shall not be liable for any failure or delay in performance of our obligations under these Terms and Conditions due to circumstances beyond our reasonable control, including but not limited to:
Acts of God, natural disasters, epidemics, or pandemics.
War, terrorism, civil unrest, or government actions.
Internet service failures, power outages, or telecommunications failures.
Cyberattacks, hacking attempts, or other malicious activities by third parties.
Labor disputes, strikes, or shortages of materials.
In such events, our obligations will be suspended for the duration of the force majeure circumstance.
10. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions.
You agree to submit to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona, for the resolution of any disputes arising from or related to these Terms and Conditions or your use of our services.
You waive any objection to venue in these courts and any claim that such courts are an inconvenient forum.
11. Dispute Resolution Procedures
Informal Resolution
Before initiating any formal dispute resolution proceedings, you agree to first attempt to resolve any dispute informally by contacting us directly. We are committed to working with you to find reasonable solutions to concerns or disagreements.
Mediation
If informal resolution is unsuccessful, you agree to participate in good faith mediation before pursuing litigation. The mediation shall take place in Phoenix, Arizona, and be conducted by a mutually agreed upon mediator.
Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.
12. Severability and Waiver
Severability
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, such provision shall be severed from these terms. The remaining provisions shall continue in full force and effect.
No Waiver
No waiver of any term or condition of these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.
13. Assignment
You may not assign, transfer, or delegate any of your rights or obligations under these Terms and Conditions without our prior written consent. We may assign or transfer our rights and obligations under these terms at any time without restriction.
Any attempted assignment in violation of this provision shall be null and void.
14. Entire Agreement
These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any other legal documents referenced herein, constitute the entire agreement between you and Battle Zone regarding your use of our services.
These terms supersede and replace all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding our services.
